User Agreement

About this summary

This page is a plain-language summary of the agreement between you and LaFountain Design, doing business as Ecomm Eagle (“Ecomm Eagle,” “we,” “us”), for the use of the EagleLytics® platform. EagleLytics® (“EagleLytics”) is a product and service operated by Ecomm Eagle. It is here to help you find your way around; it is not a separate contract. The Terms & Conditions are the governing document, together with the Privacy Policy and the Refund & Cancellation Policy. If anything on this page differs from the Terms, the Terms control. Earlier versions of this User Agreement are replaced by the Terms effective September 9, 2026.

By creating an account, starting a trial or subscription, or using the Service, you agree to the Terms.

Your account

• You must be at least 18 (or the age of majority where you live) and able to enter into a contract.
• You can register with an email address and password, or with Google sign-in.
• Keep your login details confidential, keep your account and billing details accurate, and tell us promptly if someone else uses your account.

Using the Service

• You get a limited licence to use EagleLytics® for your own inventory-management and e-commerce operations.
• You are responsible for the supplier URLs, store connections, credentials and product data you give us, and for having the right to use them. Credentials are encrypted and you can revoke access by deleting the connection.
• Do not scan sites you are not authorised to scan, republish content you do not hold rights to, interfere with the Service, reverse engineer it, or resell access.
• Our monitoring respects robots.txt and Crawl-delay, keeps at least one second between requests to a domain, identifies itself as EagleLyticsBot/1.0, and is limited to USA- and Canada-based supplier websites.

Plans, trials and payment

• Trials: a direct sign-up starts on the 14-day Free Trial plan with no card and is billed only if you choose a paid plan. A trial started after a Shopify or BigCommerce install converts to the plan you approved when the trial ends unless you cancel first.
• Automatic renewal: paid plans renew each month or year at the then-current price and your payment method is charged at the start of each term until you cancel.
• Cancelling: any time from the Account page, with no fee. Direct subscriptions run to the end of the paid term; platform-billed subscriptions end under that platform's rules.
• Payment: Square (Block, Inc.) processes direct subscriptions and holds your card; Shopify and BigCommerce bill subscriptions started from their app stores. Sales tax or VAT is added where the law requires, based on your billing address.
• Failed payments: we notify you and the charge is retried; if it stays unpaid we may suspend paid features until it is settled.
• Plan changes: take effect in the app straight away; the new price applies from the next renewal and part-terms are not prorated.
• Refunds: fees already paid are non-refundable except where the law requires. Tell us about a billing error within 30 days.

Your data and privacy

• You keep ownership of the data you put into EagleLytics®. Scan results are yours to use for your business, though the underlying product information may be subject to the supplier's terms and copyright.
• We may use aggregated, anonymised usage data to improve the Service; it does not identify you.
• How we collect, use, share and keep personal information — including billing data — is described in the Privacy Policy.

What we do not promise

• The Service is provided “as is”. We do not warrant that it will be uninterrupted or error-free, or that scan results are complete or accurate — verify data before relying on it for stock, pricing or customer decisions.
• Our liability is limited as set out in the Terms, and you indemnify us for claims arising from your use of the Service and the inputs you provide.
• Disputes are handled by good-faith negotiation first, then binding arbitration under the American Arbitration Association rules.

Cancelling and closing your account

• Cancel a subscription from the Account page at any time; see Plans, trials and payment above for when it takes effect.
• Close your account from the Account page. Your data is retained for 30 days for recovery and then permanently deleted, except billing, invoice and tax records we must keep.
• We may suspend or terminate accounts that break the Terms, engage in fraud, or leave fees unpaid.

The governing document

The Terms & Conditions, the Privacy Policy and the Refund & Cancellation Policy are the entire agreement between you and LaFountain Design for the Service, effective September 9, 2026. We give at least 30 days' notice of material changes by email or in-app notification. Where a Shopify or BigCommerce subscription is involved, that platform's billing terms govern the billing relationship between you and the platform.
