1. Acceptance of Terms

By accessing and using EagleLytics ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms & Conditions, please do not use the Service.

2. Description of Service

EagleLytics provides inventory synchronization and monitoring services for e-commerce platforms including Shopify, BigCommerce, WooCommerce, Magento, and Squarespace. The Service monitors publicly available product listings and supports direct API connections for authorized partners, with real-time inventory tracking and synchronization capabilities.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with third parties

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to scan or monitor websites without proper authorization
• Engage in any activity that could harm or overload our infrastructure
• Submit URLs, API credentials, store connections, or product data that you do not have a lawful right to access, collect, store, transfer, or use
• Use the Service to copy, redistribute, or republish third-party content (including product titles, descriptions, images, pricing, or media) without holding the necessary rights, licenses, or written permission from the rights-holder

4a. User-Supplied Content, URLs & Authorization

The Service is a tool that operates on inputs you provide — including supplier URLs, product URLs, store credentials, API keys, OAuth tokens, CSV uploads, product data, pricing rules, and any other information you submit (collectively, “User Inputs”). You are solely responsible for the User Inputs you submit and for the consequences of submitting them.

By submitting any User Input to the Service, you represent and warrant that:

• You have the legal right, authorization, license, or written permission required to access the target website, store, or data source, and to direct the Service to interact with it on your behalf
• You have the legal right to collect, store, sync, republish, redistribute, or otherwise use any product data, images, descriptions, pricing, or other content the Service retrieves on your direction
• Your use of the Service does not violate the terms of service, robots.txt directives (where applicable), API terms, copyright, trademark, trade-secret, database, contract, privacy, or competition laws of any jurisdiction
• You will not use the Service to interact with EU-operated businesses, non-USA suppliers (where geo-restricted), or any domain we have flagged or blocked, unless you have obtained an explicit override and have an independent legal basis to do so

LaFountain Design does not pre-screen, validate, or independently verify the lawfulness of User Inputs. We act solely on your direction. You, not LaFountain Design, are the controller and user of any data the Service collects on your direction.

5. Inventory Monitoring and Compliance Practices

EagleLytics monitors publicly available supplier inventory data on your behalf — the same product information any shopper can view on a supplier's storefront. We are committed to responsible, transparent, and legally compliant data collection practices:

robots.txt Compliance

Before reading any supplier website, EagleLytics checks the site's robots.txt file — the industry-standard mechanism for website owners to communicate access preferences. We fully respect all directives including disallowed paths and Crawl-delay specifications. If a supplier's robots.txt disallows automated access, the scan will not proceed for HTML-monitored platforms.

Rate Limiting

All monitoring activity is governed by strict rate limits to prevent excessive load on supplier servers:

• A minimum of 1 second between requests to any individual domain
• Platform-specific rate limits tailored to each e-commerce platform's guidelines
• Automatic enforcement of Crawl-delay directives from robots.txt, which take precedence when stricter than our defaults
• Adaptive throttling that reduces request frequency if errors or rate limit responses are detected

Transparent Identification

EagleLytics identifies itself with a EagleLyticsBot/1.0 user agent string, allowing website operators to identify, control, or whitelist our monitoring activity through their robots.txt configuration. We do not impersonate browsers or mask our identity.

Geographic Restrictions

EagleLytics currently restricts scanning to USA-based supplier websites only. Non-USA suppliers are automatically detected and blocked from scanning to ensure compliance with applicable regulations.

6. Service Availability

While we strive to provide continuous service availability, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice.

6a. Disclaimer of Warranties (“AS IS”)

The Service, including all data, scans, sync results, product information, pricing, stock status, images, descriptions, reports, recommendations, and any other output produced by or transmitted through the Service, is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied.

To the maximum extent permitted by applicable law, LaFountain Design expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, reliability, or that the Service will meet your requirements.

Data accuracy disclaimer. The Service retrieves third-party data from supplier websites and APIs that are outside our control. Stock status, pricing, product availability, descriptions, images, SKUs, and any other data displayed or synced by the Service may be inaccurate, out-of-date, mis-categorized, or missing. We do not guarantee that any data produced by the Service reflects actual stock levels, current pricing, or current product information at the source. You are responsible for independently verifying any data before relying on it for inventory decisions, pricing decisions, customer communications, or sales transactions.

Sync & import disclaimer. When the Service updates inventory, prices, product listings, or other content on your connected store(s), it acts on your direction and on the data it retrieved from your selected source. We are not responsible for lost sales, overselling, underselling, mispriced orders, customer complaints, chargebacks, refunds, returns, takedown notices, account suspensions, or any other commercial outcome resulting from synced or imported data.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as outlined in the Privacy Policy. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by LaFountain Design and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

10. Limitation of Liability

To the maximum extent permitted by law, LaFountain Design, its owners, employees, contractors, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation, loss of profits, revenue, data, use, goodwill, business opportunity, or other intangible losses, arising out of or relating to:

• Your access to, use of, or inability to access or use the Service
• Any data collected, scanned, scraped, fetched, transmitted, synced, imported, exported, or otherwise produced by the Service, whether or not such data is accurate, complete, current, or lawful
• Any inventory, pricing, sync, or import action taken by the Service on your direction (including overselling, underselling, mispriced orders, lost sales, refunds, chargebacks, or customer disputes)
• Any conduct, content, claim, demand, takedown notice, cease-and-desist, lawsuit, or regulatory action by any third party (including suppliers, rights-holders, customers, payment processors, marketplaces, hosting providers, or government agencies) arising from your use of the Service
• Any unauthorized access to, use of, alteration of, or destruction of your transmissions, account, credentials, or content
• Any suspension, termination, or limitation of your account by EagleLytics, Shopify, Square, your bank, or any third-party platform
• Any service interruption, downtime, data loss, bug, defect, or performance issue

Aggregate cap. In no event shall the total aggregate liability of LaFountain Design to you for all claims arising from or relating to the Service or these Terms exceed the greater of (a) the total subscription fees you paid to LaFountain Design in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00). This cap applies regardless of the cause of action (contract, tort, statute, or otherwise) and survives termination of these Terms.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless LaFountain Design and its owners, employees, contractors, agents, and licensors from and against any and all claims, demands, actions, lawsuits, damages, obligations, losses, liabilities, judgments, settlements, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of the Service or any User Inputs you submit to the Service
• Your violation of these Terms or any representation or warranty you made under these Terms
• Your violation of any third-party right, including any copyright, trademark, trade-secret, database, contract, privacy, publicity, or competition right of any supplier, rights-holder, customer, or other party
• Any data the Service collected, transferred, synced, or imported on your direction, including any claim that such data was collected, used, or republished without authorization
• Any inventory or pricing decision made by you or your store based on data produced by the Service
• Any claim by a supplier, marketplace, or platform that you exceeded authorized access, violated their terms, or infringed their rights
• Any tax, customs, regulatory, or compliance obligation arising from your business

LaFountain Design reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.

11a. Force Majeure

LaFountain Design shall not be liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, hosting provider failures, third-party platform outages (including Shopify, Square, BigCommerce, WooCommerce, Cloudflare, AWS, DigitalOcean, or any supplier website), cyberattacks, pandemics, or any other force majeure event.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
